1. Acceptance of Terms 1. 条款接受

By accessing or using the services of Guangzhou Xibi Technology Co., Ltd. (operating as SEASO), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

通过访问或使用广州希必科技有限公司（以SEASO品牌运营）的服务，您同意受本服务条款约束。如不同意，请勿使用我们的服务。

2. Services 2. 服务内容

SEASO provides digital marketing services including Google SEO, Google Ads management, website development, social media marketing, Yandex promotion, minor language marketing, and enterprise lead generation. Specific deliverables, timelines, and fees are outlined in individual service agreements signed between SEASO and the client.

SEASO提供数字营销服务，包括谷歌SEO、谷歌广告管理、网站建设、社交媒体营销、Yandex推广、小语种营销和大客户开发。具体交付物、时间表和费用在SEASO与客户签订的单独服务协议中明确规定。

3. Client Responsibilities 3. 客户责任

Clients are responsible for: providing accurate business information and assets; timely approval of deliverables; compliance with applicable laws in their jurisdiction; ensuring their products and business activities comply with the advertising policies of Google, Meta, and other relevant platforms.

客户负责：提供准确的业务信息和资产；及时审批交付物；遵守其管辖范围内的适用法律；确保其产品和业务活动符合谷歌、Meta及其他相关平台的广告政策。

4. Intellectual Property 4. 知识产权

Upon full payment, clients own all deliverables created specifically for them, including website files, ad creatives, and content. SEASO retains rights to its proprietary tools, systems, and methodologies. Client grants SEASO a license to use client assets solely for providing the contracted services.

付清款项后，客户拥有专为其创建的所有交付物，包括网站文件、广告创意和内容。SEASO保留其专有工具、系统和方法论的权利。客户授予SEASO仅用于提供合同服务的客户资产使用许可。

5. Payment Terms 5. 付款条款

Payment terms are specified in individual service agreements. SEASO reserves the right to suspend services for accounts with overdue payments exceeding 30 days. All fees are non-refundable unless otherwise stated in the service agreement.

付款条款在单独的服务协议中规定。对于逾期付款超过30天的账户，SEASO保留暂停服务的权利。除服务协议另有规定外，所有费用不予退还。

6. Limitation of Liability 6. 责任限制

SEASO's total liability for any claim arising from our services shall not exceed the fees paid by the client in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or business interruption.

SEASO对因我们服务引起的任何索赔的总责任不超过索赔前三个月客户支付的费用。我们不对间接、附带或后果性损害负责，包括利润损失或业务中断。

7. Governing Law 7. 适用法律

These terms are governed by the laws of the People's Republic of China. Any disputes shall be resolved through negotiation; if unresolved, through the courts of Guangzhou, China.

本条款受中华人民共和国法律管辖。任何争议应通过协商解决；如无法解决，提交中国广州法院裁决。
